Commercial Photo Licensing Terms and Conditions
Effective Date: 16th April 2024
1. Grant of License 
Mark Higgins ("Licensor") grants to any client ("Licensee") a non-exclusive, non-transferable license to use the photographs (the "Licensed Material") under the terms outlined herein.
2. Permitted Uses
Licensee is authorised to use the Licensed Material in connection with advertising, corporate materials, digital platforms, and other approved uses for an unlimited duration unless a specific time limit is specified at the time of purchase or in the agreement.
3. Prohibited Uses
Licensee may not:

a - Sublicense, resell, rent, lend, or otherwise distribute the Licensed Material, unless specifically agreed in writing by the Licensor. Any breach of this clause will result in a fine of £200 per photo.
b - Use the Licensed Material in any derogatory, unlawful, misleading, or discriminatory context.
- Modify or alter the Licensed Material except as expressly allowed in writing by the Licensor.
4. Copyright Ownership
Copyright in the Licensed Material remains with the Licensor. Licensee does not acquire any copyright, ownership, or other proprietary rights other than those explicitly granted under these Terms and Conditions.
5. Attribution
Licensee is not required to provide a copyright notice adjacent to the Licensed Material unless specifically requested by the Licensor. If requested, the notice should read as follows: "© [Year] Mark Higgins, www.corporatephotos.co.uk . All rights reserved."
6. Payment Terms
Payments for the Licensed Material are due within 14 days from the date of the invoice. Failure to make payment within this period may result in a suspension of services and interest charges on the overdue amount at the statutory rate.
7. Indemnity
Licensee agrees to indemnify and hold harmless Licensor from all claims, liabilities, and costs (including reasonable legal fees) arising from Licensee's use of the Licensed Material not in accordance with these Terms and Conditions.
8. Termination
Licensor may terminate this license at any time if Licensee breaches these Terms and Conditions. Upon termination, Licensee must immediately cease all use of the Licensed Material and delete or return all copies.
9. Entire Agreement
These Terms and Conditions constitute the entire agreement between Licensor and Licensee regarding the Licensed Material and supersede all prior communications and agreements.
10. Governing Law
These Terms and Conditions shall be governed by the laws of the United Kingdom.
11. Force Majeure
Neither party shall be liable for any failure to perform its obligations if such failure is caused by acts beyond their reasonable control, including but not limited to natural disasters, pandemics, wars, terrorism, government sanctions, strikes, or failures of technology services. Such failure shall not be deemed a breach of this Agreement. The affected party shall notify the other as soon as reasonably possible and will endeavour to resume performance as soon as feasible.
12. Conditional Obligations
Should any conditions set forth in this agreement not be met by the Licensee, including but not limited to timely payment and proper use of the Licensed Material as specified in sections 3 and 6, the Licensor reserves the right to take appropriate actions. These actions may include, but are not limited to, revoking the license granted under this agreement, pursuing legal remedies to recover damages, and imposing late fees or other penalties as deemed appropriate.
13. Client Non-Performance
In the event that Licensor arrives to perform scheduled photography services and is unable to do so due to reasons attributable to the Licensee's failure to prepare or other oversights that are not the fault of the Licensor, the Licensee shall be responsible for paying half of the quoted or estimated fee. This fee compensates the Licensor for the allocated time and resources prepared for the said assignment. This provision is intended to cover instances including, but not limited to, unavailability of key personnel, failure to secure a necessary permit, or improper preparation of the location.
Licensee Acknowledgement
By using any of the Licensed Material, Licensee agrees to be bound by these Terms and Conditions.
